Striking Off a Local Company in Singapore

An orderly, fully-documented dissolution β€” from shareholder consent through ACRA application β€” for companies that have ceased operations or never commenced business.

What the service covers

You may apply to strike your company’s name off the ACRA Companies Register if it is no longer carrying on business. Our package includes all documentation preparation, drafting of the shareholders’ consent letter, and the striking off application fees payable to ACRA.

Requirements for striking off

  • The company has ceased business operations, or has not started any since incorporation
  • Written consent has been obtained from the majority of shareholders
  • There are no outstanding tax liabilities to IRAS
  • GST status has been cancelled with IRAS, if the company is GST registered
  • There are no debts owed to any government agency
  • There are no outstanding charges in the company’s charge register
  • There are no ongoing court proceedings involving the company
  • There are no current or contingent assets and liabilities
  • There are no outstanding summonses by ACRA against any officer of the company
  • A Statement of Financial Position as at the date of cessation of business has been submitted
  • All company bank accounts have been closed

If the company has assets and liabilities in its books, documentary proof will be required to show they have been cleared. If the company has been dormant since incorporation, the process is considerably easier.

Timeline and objections

The whole process takes approximately five months, provided no objection is raised by concerned parties.

If an objection is raised, you will be informed and given two months from the date of the objection to resolve the outstanding matter. Resolve it in time and ACRA proceeds with the application. If not, the application lapses and a fresh striking off application must be submitted once the matter is settled.
